甲乙双方本着互利、共信的原则经协商一致达成如下协议：

一、甲乙双方协商确定：甲方提供给乙方的茶叶，产品品种、数量、名称见附表一 。

二、产品质量

1、内在质量：茶叶符合各等级茶叶标准、符合《农产品安全质量》标准提出的要的无公害要求。

2、外观质量：按样本提供的外观包装和设计。不退色、不沾污染物、光泽干净，整洁。

三、甲乙双方协商确定：甲方提供茶叶和礼品装，乙方负责销售。如无质量问题不得退货。

六、权力义务及违约责任

2、乙方按合同规定销售甲方提供的茶叶。如无质量问题不得退货，不得以次货冒假充甲方提供的茶叶对外销售，损害甲方产品的礼盒效果。否则甲方可依法提出保护。

因凡本合同引起的或与本合同有关的任何争议，如果协商不能解决，应提 交中国国际经济贸易仲裁委员会深圳分会。按照申请仲裁时该会当时施行的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
